Welcome to Coldbeatz ("we", "us", "our"), a marketplace where music producers sell beats and artists or buyers purchase licenses. These Terms of Service ("Terms") govern your access to and use of the Coldbeatz website, applications, and related services (collectively, the "Platform").
By creating an account or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform. By registering, you represent that you meet this requirement and that the information you provide is accurate.
2. Account roles
Buyers / artists
Buyers browse the marketplace, purchase beat licenses, download licensed files, follow producers, send inquiries, and manage purchases through their dashboard.
Producers
Producers upload beats, set license pricing, connect a payout account for automatic Bachs split payments, subscribe to producer plans, and manage sales through their dashboard.
You may select a role at signup. Certain features are available only to the relevant role.
3. Beat licensing
License tiers
Coldbeatz offers multiple license types per beat, including MP3 Lease, WAV Lease, Unlimited Lease, Premium Lease, and Exclusive. Each tier defines permitted uses such as streaming limits, music video counts, live performance rights, and radio broadcasting rights. The specific rights for each tier are displayed at the point of purchase.
What a license grants
A license grants non-exclusive rights (except Exclusive licenses) to use the beat in accordance with the purchased tier. You do not acquire ownership of the underlying composition or master recording—only the rights expressly granted by the license tier.
Exclusive licenses
When an Exclusive license is sold, the beat is typically removed from further sale on the Platform. Exclusive terms may include additional obligations communicated at purchase or through inquiry negotiation.
Free MP3 downloads
Some beats may be offered as free MP3 downloads. Free downloads grant limited rights as stated on the beat page and do not include WAV, stems, or exclusive rights unless explicitly stated.
License violations
Misuse of a beat beyond licensed terms (e.g., exceeding stream caps, using stems without the appropriate tier) may result in license revocation, account suspension, and legal action.
4. Payments and fees
Payment processing
Payments are processed by Bachs. Card, mobile-money, and other payment methods are collected on Bachs's hosted checkout—we do not store full payment credentials on our servers. Checkout may show prices in your local currency when adaptive pricing is enabled.
Producer payments
Producers receive earnings through Bachs connected accounts with automatic revenue split at the time of sale, based on the producer's subscription plan commission rate. Producers must complete payout onboarding in Settings before receiving split payments.
Platform commission
Coldbeatz retains a commission on each sale according to the producer's subscription tier (Free, Pro, or Premium). Commission rates are disclosed on the subscription page.
Subscriptions
Producer subscriptions are billed recurringly through Bachs. Cancellation takes effect at the end of the current billing period unless otherwise stated. Downgrading may affect commission rates and upload limits.
Refunds
Digital beat licenses are generally non-refundable once files have been delivered, except where required by law or at our sole discretion in cases of technical failure or duplicate charges.
5. Producer obligations
Producers represent and warrant that:
- They own or control all rights necessary to license the beats they upload.
- Uploads do not infringe third-party copyrights, trademarks, or other rights.
- Samples, loops, and compositions are cleared for the licenses offered.
- Legal and tax information provided (name, tax ID, address, country) is accurate.
- Beats comply with Platform content standards and applicable law.
Producers are responsible for any claims arising from their uploads.
6. Prohibited conduct
You may not:
- Upload infringing, illegal, hateful, or deceptive content.
- Circumvent payment systems or license restrictions.
- Scrape, reverse-engineer, or overload the Platform.
- Impersonate others or misrepresent affiliation with Coldbeatz.
- Use the Platform for money laundering or fraud.
- Resell or redistribute beats except as permitted by your license tier.
We may remove content, suspend accounts, or report violations to authorities.
7. Intellectual property
Platform content
The Coldbeatz name, logo, design, and software are our intellectual property. You may not copy or use them without permission.
User content
You retain ownership of beats and content you upload. By uploading, you grant Coldbeatz a non-exclusive, worldwide license to host, display, stream previews, and deliver files to licensed buyers.
Copyright complaints
If you believe content on the Platform infringes your copyright, contact us at support@coldbeatz.com with: identification of the work, the infringing URL, your contact information, and a statement of good-faith belief. We may remove content and terminate repeat infringers.
8. Account suspension and termination
We may suspend or terminate accounts that violate these Terms, pose security risks, or harm other users. You may request account deletion through Settings; see our Privacy Policy for how we handle data upon deletion.
Purchases and license records may be retained for legal, tax, and audit purposes even after account anonymization.
9. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE UNINTERRUPTED SERVICE, ERROR-FREE UPLOADS, OR SPECIFIC SALES RESULTS. BEATS ARE PROVIDED BY PRODUCERS, NOT BY COLDBEATZ.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLDBEATZ AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO COLDBEATZ IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) GHS 500.
11. Governing law and disputes
These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-law principles. If you access the Platform from outside Ghana, you are responsible for compliance with local laws.
Disputes shall first be addressed through good-faith contact at support@coldbeatz.com. If unresolved, disputes shall be submitted to the competent courts of Ghana, unless mandatory consumer protection laws in your jurisdiction require otherwise.
12. Changes to these Terms
We may update these Terms from time to time. We will update the "Last updated" date and may require re-acceptance for material changes. Continued use after changes constitutes acceptance.
